Terms of Service
& Player Agreement

1. Operator, eligibility & acceptance

The Gilded Spade and Clubhouse II (the “Service”) are operated by Gilded Games, at 434 Alamos Rd, Corrales, NM 87048 (“we,” “us,” or “the club”). These terms cover introductory play, accounts, public and private tables, chat, profiles, portraits, and virtual items.

You must be at least 13 years old, or the higher minimum age required for this Service where you live. If you have not reached the age of legal adulthood where you live, your parent or legal guardian must review these terms with you and give permission for you to use the Service. A parent or guardian allowing a minor to play should supervise their use and must authorize each purchase. Permission does not allow a child under 13 to use the Service.

By affirmatively accepting these terms, or selecting introductory play after the linked terms notice, you agree to these rules. Do not use the Service if you do not meet these conditions. Do not misrepresent your age or bypass access restrictions. Contact us if you believe a user is under 13. We may restrict an account while resolving eligibility concerns.

Use the Service only where lawful. The fictional bar setting and virtual drinks do not involve the sale or delivery of alcohol. These terms do not determine a game’s legal classification in every location or override mandatory consumer rights. Our Privacy Policy explains personal information practices; accepting these terms is not consent to unrelated advertising.

2. Virtual chips, not money

Club Chips, table pots, entry amounts, rewards, ratings, and wins are virtual entertainment features. Chips have no cash value and cannot be cashed out, redeemed for money or goods, or exchanged for anything of monetary value. We do not offer real-money wagering or cash prizes. References to a “pot,” “buy-in,” “winning,” or “the house” describe the game’s theme and virtual-chip mechanics.

You receive a limited right to use chips within the Service, subject to these rules. You must not sell chips or accounts, arrange cash wagers around our games, or use the Service for gambling, money transfers, or off-platform exchanges. Chips spent or lost in a game are deducted from your virtual balance. Table entry amounts, applicable chip fees, and game rules are shown in the Service before you join.

Chips are a personal, limited, non-transferable license to use a feature of the Service, not property held on deposit. Purchased chips do not expire merely because time passes or you are inactive. Promotional rewards may have separate eligibility or expiration conditions disclosed before you claim them. Accounts and chip balances may not be sold, gifted, transferred, or traded outside features expressly provided by the club.

In a standard four-seat game, each seat contributes the displayed entry amount to the virtual pot. The house deduction is calculated from that pot, and the remainder is split equally between the two winning seats, subject to forfeiture and moderation. Current table deductions are 10% for entry amounts from 5,000 through 50,000 chips, 5% for 100,000 and 500,000 chips, and 3% for 1,000,000 chips. Always review the table’s displayed settings before entry; changes to fees apply to future entries, not retroactively to a game already entered.

Computer seats may be partners or opponents. The house funds their entry chips; a computer seat’s winning share returns to the house. A forfeited player receives no winning share even if their team later wins; that seat’s share returns to the house rather than increasing the partner’s share. These are virtual ledger movements, not payments of money.

3. Computer players & AI features

Tables may include computer-controlled players, also called AI players, house players, or house regulars. They may fill available seats or take over play when a member disconnects or times out. They can bid, play cards, and participate in game-related interactions. Their names, avatars, personalities, chat, and timing may resemble those of real people. A lifelike profile does not mean a person is controlling it.

During launch season, displayed participation counts may include some AI players. Any such count will be identified where it is displayed. A “member” account normally belongs to a person, but a table lineup or participation count may also include computer players as disclosed.

The bartender, portrait studio, and moderation tools may also use AI. AI output can be inaccurate or inappropriate, and AI characters are not human staff or professional advisers. Do not share sensitive personal information with them. Computer participation does not create a right to a particular opponent, outcome, or virtual-chip return.

Buying chips does not purchase a win, a human-only table, preferential cards, or a guaranteed difficulty. Review available table settings before joining. AI-generated sales conversation is not a payment authorization: the chip quantity and total displayed at checkout define the order you approve. Report a misleading or mistaken offer so we can investigate and provide any appropriate correction or refund.

4. Accounts & table play

Keep your sign-in credentials secure and use an account you are authorized to control. Public aliases and themed avatars are welcome; impersonation of another person or the club’s staff is not. You are responsible for activity you authorize through your account. Report suspected unauthorized access through Contact & Support.

Follow the rules and settings displayed for your table, including bidding, bags, scoring, timers, and entry requirements. Server records determine the game state and virtual-chip settlement, subject to correction of verified errors. Disconnection, leaving, or running out of time may trigger automatic play or the table’s applicable departure rules. We cannot promise uninterrupted access or a particular result.

Leaving or exhausting the table’s absence allowance may forfeit your entry chips and any right to that game’s winning payout, and may affect your rating and statistics. A computer may finish the seat. Rejoining is available only while the table allows it; repeatedly returning does not necessarily reset the absence allowance. The table displays its timers and reconnect rules.

If your connection fails, the game may continue under these rules. If a verified service failure prevents a valid completion, we will investigate whether the game can resume or must be cancelled. For a cancelled game, eligible committed entry chips are returned and uncommitted holds released; a cancellation is a chip adjustment, not a cash-out. If a game has already settled incorrectly, contact support for review and correction of verified errors. Do not make duplicate purchases to resolve a delayed balance.

5. Friendly banter, fair play & moderation

Keep the club clean and welcoming. Friendly banter is encouraged; keep angry comments to a minimum and use discretion, or the club will use it for you. Do not harass, threaten, discriminate, share someone’s private information, or post hateful, sexually explicit, or abusive content. Profanity may be masked before messages are displayed. Original messages may be retained for moderation and evidence review.

Table talk that affects play is prohibited. Do not reveal or signal your cards, suits you lack, your partner’s cards, or instructions about bidding or playing a hand. Do not collude, cheat, exploit bugs, run unauthorized automation, or coordinate outside the table to gain an unfair advantage.

A member can request table-chat moderation before the final card. Requested reviews are resolved at the end of the game, and the virtual pot may be held while review completes. Automated review considers the game context and evidence. Borderline cases may receive warnings. Two qualifying mild table-talk violations by a team, or one flagrant violation, disqualify that team and award the win to the opposing team. If both teams qualify for disqualification, neither team wins and the entire virtual pot is forfeited; no player receives a payout from it.

Moderation can make mistakes. You may ask the club to review a disputed decision through Contact & Support, identifying the game and concern. We may restrict accounts, remove content, or suspend access for violations, and correct virtual balances affected by confirmed cheating or errors. These measures do not waive any rights you have under applicable law.

Request an appeal promptly, preferably within 30 days of the decision, with the game reference and reason. This requested window does not shorten statutory rights or exclude evidence that could not reasonably have been discovered sooner. An appeal does not automatically pause a restriction or reverse a settlement. We will review available evidence and correct affected chips and records if the decision is overturned. We may preserve relevant records while investigating.

6. Purchases, delivery & refunds

Chip purchases are optional one-time payments, not subscriptions or automatic replenishment. The offer and checkout show the chip quantity, currency, total price, and any separately charged taxes before payment. Offers may expire and promotional prices may differ; the confirmed order controls. A new purchase requires a new authorization. A stored payment method or prior purchase does not authorize another charge.

You must have the payment-method owner’s permission for this specific purchase. If you are below the age of legal adulthood, your parent or legal guardian must authorize the purchase as well. Do not buy on someone else’s card without permission. Stripe processes current web payments under its applicable terms. We do not promise that every wallet or payment method is available.

We credit chips after confirmed successful payment. Pending payments may take longer; a return from checkout alone is not proof of payment or delivery. Contact support about missing chips, a duplicate charge, an unauthorized purchase, or a mismatch between the confirmed order and delivery. Keep the purchase reference; never send passwords, security codes, or full card numbers.

Refund policy. You may request a refund within 14 days for a purchase whose chips have not been used. We verify the purchase and game records and remove the refunded chips. Chips used for table entries, lost in play, or spent on virtual features are ordinarily non-refundable, except where law requires a remedy or we approve one for a verified service or purchase problem. Winnings and free promotional chips are not redeemable for money. If we cannot deliver a paid order, we will provide a refund rather than require another purchase. We investigate unauthorized and duplicate charges regardless of whether the chips were used.

Approved refunds go to the original payment method when possible; bank processing times vary. If a purchase is refunded or reversed, we may remove the related chips or temporarily restrict spending while reconciling the account. We will consider disputed adjustments on request. A good-faith payment dispute is not automatically cheating or fraud, and you do not waive your right to contact your bank or payment provider.

Nothing here removes mandatory refund, cancellation, withdrawal, or other consumer rights. Where immediate digital delivery requires a separate request or acknowledgment to affect withdrawal rights, these general terms alone do not supply it. Any future recurring plan or prize promotion requires its own clearly disclosed terms and any legally required consent before participation.

7. Your content, our game & privacy

You retain any rights you have in the content you submit. You grant us a non-exclusive, worldwide, royalty-free license to host, reproduce, display, adapt, and process it only as reasonably needed to provide and protect the Service, including requested portrait generation, profiles, chat, moderation, and support. We may permit service providers to do that work for us. This license does not authorize unrelated advertising using your likeness. After deletion, it continues only as needed for lawful retention, backups, dispute evidence, or content already shared with others.

Submit only material you have the right to use. Do not upload another person’s private information or infringe their intellectual property. Report allegedly infringing content with enough information to identify the content and your rights; we may remove or restrict it and take action against repeat misuse.

The Service’s software, branding, designs, and other materials belong to us or our licensors, subject to any rights in user content. We grant you a personal, limited, revocable, non-exclusive, non-transferable license to use the Service under these terms. Do not copy or commercially redistribute the Service, bypass security, scrape private data, or reverse engineer it except to the extent applicable law permits despite this restriction. No ownership rights in the Service are transferred to you. AI-generated material may not be unique or eligible for exclusive intellectual-property protection.

The Privacy Policy describes account, payment, chat, image, game, analytics, and support data, service providers, retention, and available rights. Public profiles and messages may be seen or copied by other participants. Avoid sharing sensitive information.

8. Account restrictions, closure & service changes

We may remove content, restrict features, or suspend or terminate accounts for cheating, fraud, harassment, unauthorized purchases, ineligibility, or other material violations, or where needed to protect the Service or comply with law. Where reasonably possible we will provide a reason and opportunity to ask for review. We may act immediately where notice would compromise security, safety, evidence, or a legal obligation.

Suspension may temporarily prevent use of chips. Verified fraudulent or improperly obtained chips may be removed. Account closure does not turn chips into cash, but does not remove a refund right under section 6 or applicable law. Contact support before voluntary closure if you wish to request an eligible refund. We do not impose automatic confiscation of every purchased balance merely because you make a good-faith complaint.

We may maintain, update, replace, or retire features. For a planned permanent shutdown, we will provide reasonable advance notice where practicable and instructions for requesting review of unused paid balances. Abrupt closure required by law or security may prevent advance notice. Refund rights required by law remain available; promotional chips and game winnings have no cash redemption value.

Material terms changes require renewed member acceptance. We will identify the updated version and date and preserve the prior text and acceptance receipts. Changes do not retroactively eliminate accrued claims or apply new purchase terms to completed orders. If you do not accept, stop using the affected features and contact support about closure and any eligible refund.

9. Contact, complaints & legal notices

Email does not require a member login. Signed-in members can also use Contact & Support. Include the relevant account, game, or purchase reference, and describe the issue. We may reasonably verify identity before disclosing account information or making changes.

Please first give us a reasonable opportunity to investigate a complaint. This is a request, not a mandatory waiting period or restriction on court, regulator, payment-provider, or statutory remedies. AI characters cannot accept formal legal notices or amend these terms.

10. Availability, warranties & liability

To the extent permitted by applicable law, the Service is provided “as is” and “as available.” We disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement where those exclusions are lawful. We do not guarantee uninterrupted access, error-free AI, particular opponents, winnings, or any gaming result. This does not limit an express obligation to deliver a confirmed purchase or provide a legally required remedy.

To the extent permitted by law, we are not liable for indirect or consequential losses or lost profits arising from use of the Service, and our aggregate liability for claims arising from the Service will not exceed the greater of US $100 or the amount you paid us for the Service during the 12 months before the event giving rise to the claim.

These exclusions and cap do not apply to fraud, willful misconduct, gross negligence, death or personal injury caused by negligence, or any liability or consumer remedy that cannot lawfully be limited. They do not reduce refunds expressly due under these terms. Where local law does not allow a limitation, that limitation does not apply to you.

11. Applicable law & general provisions

Applicable law determines the governing law and courts with jurisdiction over a dispute. These terms do not impose mandatory arbitration, a class-action waiver, or a waiver of any mandatory right to bring a claim in your local courts. Mandatory consumer protections in your place of residence remain available.

These terms, the table rules disclosed before entry, and offer-specific conditions disclosed before purchase or participation govern their respective subjects. Mandatory law controls any conflict; these terms control over inconsistent informal statements from AI characters or staff. If a provision is unenforceable, the remaining provisions continue to the extent lawful. A failure to enforce a provision is not a waiver of later enforcement.

You may not assign your account or contractual rights without our permission, except as law permits. We may transfer this agreement with the Service to a successor that assumes our obligations, subject to required notice and your mandatory rights. Provisions about accrued payments and refunds, intellectual property, lawful data retention, disputes, and liability survive closure only as needed to give them effect.
